Terms of Service

By accessing or using Binny (the "Platform"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Platform. We reserve the right to modify these terms at any time. Continued use after changes constitutes acceptance.

You must be at least 18 years old to create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. You agree to provide accurate, current, and complete information during registration and to update it as necessary. We reserve the right to suspend or terminate accounts that violate these terms, provide false information, or engage in fraudulent activity.

Binny provides a marketplace for brands and creators to engage in product-for-content barter exchanges. We facilitate: • Campaign listings and creator applications • Escrow-based product tracking and deliverable verification • Trial point-based sample discovery programs • Communication tools between parties We act as an intermediary platform and are not a party to the barter agreements between brands and creators.

All barter transactions are between the brand and the creator. Binny facilitates the exchange but does not guarantee the quality, safety, or legality of products exchanged. Brands are responsible for product quality and accurate descriptions. Creators are responsible for delivering content that meets campaign specifications. The escrow system holds products until both parties fulfill their obligations. Disputes are handled through our mediation process.

Creators retain ownership of all original content they create. By submitting content through the Platform, creators grant the associated brand a non-exclusive, royalty-free license to use the content for marketing purposes as specified in the campaign brief. You may not upload content that infringes on third-party intellectual property rights, contains illegal material, or violates any applicable laws.

You agree not to: • Use the Platform for any illegal purpose • Manipulate engagement metrics or provide false social media statistics • Circumvent the escrow system or attempt direct off-platform transactions • Harass, abuse, or threaten other users • Upload malicious code or attempt to compromise Platform security • Create multiple accounts to abuse trial points or campaign applications • Resell or redistribute products received through barter for profit

Creator accounts are free. Brand accounts are subject to subscription fees as outlined on our Pricing page. A 5% escrow commission applies to brand campaign transactions. All fees are non-refundable unless otherwise specified. We reserve the right to modify pricing with 30 days' advance notice.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BINNY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM. Our total liability for any claims arising from these terms shall not exceed the amount you paid to us in the 12 months preceding the claim.

You agree to indemnify and hold harmless Binny, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Platform, violation of these terms, or infringement of any third-party rights.

Either party may terminate this agreement at any time. You may delete your account through the Platform settings. We may suspend or terminate your account for violations of these terms. Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination shall survive, including intellectual property, limitation of liability, and indemnification.

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in San Francisco, California.
